VRA Midwest Regional Chapter Bylaws

The Bylaws were approved at the 1999 conference of the Visual Resources Association (Los Angeles, February 9-13, 1999)

ARTICLE I: NAME.

The name of this organization shall be the Visual Resources Association/Midwest Chapter, hereafter referred to as the Chapter. The geographic scope of the Chapter shall include the states of Illinois, Indiana, Iowa, Minnesota, Missouri, and Wisconsin.

ARTICLE II: PURPOSE.

The purpose of the Chapter shall be the support and professional enrichment of Chapter members. It will serve to encourage and support the professional association of the VRA.

ARTICLE III: MEMBERSHIP.

  1. Eligibility:1. Visual Resources Association members in good standing are eligible for membership.
  2. Dues:
    1. Dues shall be proposed by the members and ratified by member vote. Chapter membership dues are $10.00 per year.
    2. The Chapter shall have the right to propose additional fees for specific projects, subject to the approval of the membership.
  3. Privileges.
    1. Chapter Members in good standing are eligible to vote and/or hold office. 2. All members shall be entitled to receive minutes, announcements of meetings, and other notices of general interest to the membership.

ARTICLE IV: OFFICERS.

  1. Chapter officers shall consist of a Chair and Secretary/Treasurer.
  2. Office members must be chapter members in good standing.
  3. The terms for office shall be two calendar years. The terms of the Chair and the Secretary/Treasurer shall be staggered.
  4. Duties of Officers.
    1. Chair.
      1. The Chair shall be the representative of the Chapter on its official business, or shall designate a substitute.
      2. The Chair shall serve as program coordinator at Chapter meetings.
      3. The Chair shall make arrangements with a host for meetings.
      4. The Chair shall develop programs and agendas in consultation with other officers.
      5. The Chair shall write and submit an annual report to the membership. The Chair shall submit the report by January 1.
    2. Secretary/Treasurer.
      1. The Secretary/Treasurer shall keep minutes of Chapter meetings.
      2. The Secretary/Treasurer shall be responsible for Chapter correspondence.
      3. The Secretary/Treasurer shall maintain the Chapter mailing list.
      4. The Secretary/Treasurer shall collect membership dues and maintain the Chapter bank account.
      5. The Secretary/Treasurer shall report to the membership at Chapter meetings.
      6. The Secretary/Treasurer shall serve as Chair at meetings in the absence of the Chair.

ARTICLE V: ELECTIONS.

  1. Officers shall be elected by a plurality of votes cast by the members. Voting will be conducted by mail.
  2. A nominating committee of at least two members will be responsible for nominating a slate of officers and presenting them in written form to the Secretary/Treasurer.

ARTICLE VI: MEETINGS.

  1. Chapter meetings shall be called by the Chair.
  2. Members may invite guests to meetings and encourage them to become members.
  3. The Chapter shall have at least 2 meetings per calendar year.

ARTICLE VII: AMENDMENTS.

  1. Amendments to the Bylaws may be submitted to the Chapter in writing by voting members.
  2. Approval of a 2/3 majority of voting members shall be necessary to amend the
    Bylaws.
  3. The Bylaws shall be reviewed at least every five years.
